By accessing or using Zecto's Communication Platform as a Service ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service
   Zecto provides a cloud-based communications platform that enables businesses to send and receive SMS, voice calls, WhatsApp messages, and emails through our Application Programming Interfaces (APIs) and tools.

   
   

2. Account Registration
   2.1 You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration.
   2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
   2.3 You must notify Zecto immediately of any unauthorized use of your account or any other breach of security.
   2.4 Zecto reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

   
   

3. Acceptable Use Policy
   3.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.
   3.2 You shall not use the Service to:

• Send spam, unsolicited messages, or bulk communications without proper recipient consent

• Transmit malicious code, viruses, or harmful content

• Violate any applicable laws, regulations, or third-party rights

• Engage in fraudulent, deceptive, or misleading practices

• Harass, threaten, or intimidate any person or entity

• Infringe upon intellectual property rights

• Send messages containing illegal content or promoting illegal activities

• Impersonate any person or entity

3.3 Zecto reserves the right to monitor usage and suspend or terminate services for violations of this policy.

4. Regulatory Compliance
4.1 Zecto is registered with the Pakistan Telecommunication Authority (PTA) as a Content Services Provider and SMS Aggregator (License Number: CVAS Pakistan/2083/2025).
4.2 You agree to comply with all applicable telecommunications laws and regulations in Pakistan, including but not limited to PTA regulations.
4.3 You are responsible for obtaining necessary consents from message recipients as required by law.

5. Pricing and Payment
5.1 Pricing for the Service is available on our website and may be modified at any time with notice.
5.2 You agree to pay all fees associated with your use of the Service according to the pricing in effect at the time of use.
5.3 All fees are non-refundable unless otherwise stated in writing.
5.4 Zecto reserves the right to suspend or terminate service for non-payment.
5.5 You are responsible for all applicable taxes associated with your use of the Service.

6. Service Level and Availability
6.1 Zecto strives to maintain 99.9% uptime but does not guarantee uninterrupted or error-free service.
6.2 Scheduled maintenance will be communicated in advance when possible.
6.3 Zecto is not liable for service interruptions caused by factors beyond our reasonable control, including telecommunications provider issues, internet connectivity problems, or force majeure events.

7. Data Privacy and Security
7.1 Zecto's collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 You retain ownership of all data you submit through the Service.
7.3 Zecto implements industry-standard security measures to protect your data but cannot guarantee absolute security.
7.4 You are responsible for ensuring that your use of the Service complies with applicable data protection laws.

8. Intellectual Property
8.1 The Service, including all software, documentation, and content, is owned by Zecto and protected by intellectual property laws.
8.2 These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
8.3 You may not copy, modify, distribute, sell, or lease any part of the Service without written permission from Zecto.

9. Third-Party Services
9.1 The Service may integrate with or rely on third-party telecommunications providers and services.
9.2 Zecto is not responsible for the performance, availability, or policies of third-party services.
9.3 Your use of third-party services may be subject to additional terms and conditions.

10. Limitation of Liability
10.1 To the maximum extent permitted by law, Zecto shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
10.2 Zecto's total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to Zecto in the twelve (12) months preceding the claim.
10.3 Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Zecto, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any rights of third parties

• Your violation of applicable laws or regulations

12. Termination and Suspension
    12.1 You may terminate your account at any time by contacting Zecto support.
    12.2 Zecto may suspend or terminate your access to the Service at any time for:

• Violation of these Terms

• Non-payment of fees

• Fraudulent or illegal activity

• Any reason with 30 days' notice

12.3 Regulatory Compliance and Suspension
12.3.1 Zecto reserves the right to immediately suspend or terminate your account if ordered to do so by the Pakistan Telecommunication Authority (PTA) or any other regulatory authority.
12.3.2 If you violate any rules, regulations, or directives issued by the PTA or any applicable telecommunications regulatory body, Zecto will immediately suspend or terminate your account without prior notice.
12.3.3 In cases of suspension or termination due to regulatory violations, all account balances and prepaid credits shall be non-refundable and will be forfeited.
12.3.4 You acknowledge that violations of PTA regulations or Pakistani telecommunications laws may result in legal action against you. Depending on the nature and severity of the violation, you may be subject to:

• Criminal prosecution under applicable Pakistani laws

• Civil penalties and fines imposed by regulatory authorities

• Legal liability for damages caused by your violations

12.3.5 Zecto reserves the right to cooperate fully with regulatory authorities and law enforcement agencies in investigations of violations, including but not limited to providing user data, transaction records, and communication logs as required by law.
12.3.6 You agree to indemnify and hold Zecto harmless from any claims, penalties, or legal actions arising from your violations of regulatory requirements.
12.4 Upon termination for any reason, you remain responsible for all outstanding fees and obligations incurred prior to termination.
12.5 Provisions that by their nature should survive termination shall remain in effect, including but not limited to ownership, warranty disclaimers, indemnification obligations, and limitations of liability.

13. Modifications to Terms
13.1 Zecto reserves the right to modify these Terms at any time.
13.2 We will provide notice of material changes through the Service or via email.
13.3 Your continued use of the Service after modifications constitutes acceptance of the updated Terms.

14. Dispute Resolution
14.1 These Terms shall be governed by the laws of Pakistan.
14.2 Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Pakistan.
14.3 You agree to attempt to resolve disputes through good-faith negotiation before initiating legal proceedings.

15. General Provisions
15.1 Entire Agreement: These Terms constitute the entire agreement between you and Zecto regarding the Service.
15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.
15.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment: You may not assign these Terms without Zecto's prior written consent. Zecto may assign these Terms without restriction.
15.5 Force Majeure: Zecto shall not be liable for any failure to perform due to circumstances beyond its reasonable control.
